The Terry College of Business Executive Programs offers you Fundamentals for New Directors. This 2-day program for new board members and senior executives explores best practices in corporate governance and will provide you with practical insight into how to handle today’s boardroom challenges.

In light of the new legislation and regulatory changes, every board member should be aware of his or her legal, fiduciary, and ethical responsibilities and liabilities. Learn the fundamental roles and responsibilities of the board and its committees, methods for evaluating financial health and performance, and practical ways of implementing new regulatory requirements. Interact with other board members and executive who share similar experiences and take with you a practical, informed perspective for helping your board achieve and sustain superior performance.

Available accreditation includes: CLE, CEU and CPE

Program Content:
  • Roles, Responsibilities, and Expectations of Directors – Discuss the role of the board as it relates to management, duty of care, legal obligations, and independence requirements. Learn what impact new legislation and regulations have had on each.

  • Financial Statements and Quality of Financial Reporting – Overview the basics of financial statements and learn to how to evaluate earnings, earnings management practices, and reporting quality. Define the board’s role in financial oversight.

  • Warning Signs of Troubled Companies – Learn how to watch for signs of changing financial performance, including a top 10 list of red flags indicating trouble ahead.

  • Audit Committee Best Practices in a Complex Environment – How have the audit committee’s responsibilities changed and where can the committee seek assistance when needed?

  • The Compensation Committee – Discuss compensation plans, new rules to incorporate in structuring executive compensation, and the view of compensation from the shareholders and activists.

  • Director and Officer Liability Insurance Issues - What is your liability in director and officer litigation matters and how can you best protect yourself and the company you serve?

  • The State of the Regulation – Review current regulations and discuss potential changes for the future.

Proposed Faculty:

The Terry College and NACD have assembled a world-class faculty that represents both academics and business, bringing particular expertise in law, accounting, finance, strategy, insurance, and public policy. The faculty includes leaders such as: Dennis Beresford, chaired Professor or Accounting at the Terry College of Business who served as Chairman of FASB for 10 years and currently serves on the boards of Worldcom, National Service Industries, Legg Mason, and Kimberly-Clark Corporation; and Rick Miller, Senior Partner with Powell Goldstein Frazer and Murphy, LLP specializing in mergers and acquisitions and corporate finance as well as advising boards and committees on significant transaction and control issues.
